James A. Watt

President, Chief Executive Officer and Chairman of the Board

Mr. Watt serves as President, Chief Executive Officer and Chairman of the Board of Warren Resources, Inc. He joined the Company in 2015 from Dune Energy, Inc., where he previously served as President, Chief Executive Officer and Director from 2007 to 2015. Prior to joining Dune Energy, Inc. in 2007, Mr. Watt served as the Chief Executive Officer of Remington Oil and Gas Corporation from 1998 to 2007 and was the Chairman of Remington from 2003, until Helix Energy Solutions Group, Inc. acquired Remington in July 2006.

Mr. Watt currently serves on the Board of Directors of Helix Energy Solutions Group. Mr. Watt served on the Board of Directors of Bonanza Creek Energy beginning in 2012 and served as Chairman of the Board from 2015 to 2017.

Bringing more than forty years of executive experience in the oil and gas industry with board and executive management positions, Mr. Watt’s leadership is an essential asset to the Company and to its Board. Mr. Watt earned a Bachelor of Science in Physics from Rensselaer Polytechnic Institute.

Frank T. Smith, Jr.

Executive Vice President, Chief Financial Officer and Secretary

Mr. Smith serves as Executive Vice President, Chief Financial Officer and Secretary of Warren Resources, Inc. He has over forty years of involvement in the global oil and gas industry, including extensive experience with effectively managing restructuring and turnaround situations. Mr. Smith previously served as Senior Vice President and Chief Financial Officer of Dune Energy, Inc. from 2007 and served as Secretary from 2012. Prior to his appointment at Dune Energy, Inc., he served as President and Chief Financial Officer of Sonoran Energy, Inc. From 2004 through 2006, Mr. Smith served as Senior Vice President, Finance and Corporate Secretary of Remington Oil and Gas Corp., which was acquired by Helix Energy Solutions Group, Inc. in July 2006. From 1997 to 2003, Mr. Smith served as Executive Vice President and Manager of energy lending at the Bank of Texas. From 1990 to 1997, Mr. Smith served as Director in the energy and utilities division of the First National Bank of Boston.

Prior to 1990, Mr. Smith held positions of increasing responsibility in the energy banking departments of other major, publicly-traded United States financial institutions. Mr. Smith earned a Master of Business Administration in Corporate Finance and Banking from the University of Pennsylvania (Wharton School). He also holds a Master of Education and Bachelor of Science degrees from the University of Delaware.

Romy Massey

Vice President and Chief Accounting Officer

Ms. Massey serves as Vice President and Chief Accounting Officer of Warren Resources, Inc. She joined the Company in 2016 from Quicksilver Resources Inc. where she previously held a series of positions including Vice President and Chief Accounting Officer from 2014-2016, Controller, from 2012 to 2014, , and Assistant Controller, Financial Reporting in 2012. Prior to Quicksilver, Ms. Massey spent over 10 years at PricewaterhouseCoopers LLP, an accounting firm, in serving as an Assurance Senior Manager with a focus on clients within the upstream oil and natural gas industry. Ms. Massey earned her Bachelor of Science in Business Administration and Master of Science in Accounting from Oklahoma State University and is a Certified Public Accountant in Texas.

Greg Fox

Senior Vice President of Operations and Reservoir Engineering

Mr. Fox serves as Senior Vice President of Operations and Reservoir Engineering of Warren Resources, Inc. He has over forty years of experience managing drilling, production and reservoir operations for start-up, emerging, and high growth companies. Mr. Fox joined the Company from Dune Energy, Inc. where he previously served as Senior Vice President of Operations. Prior to his appointment at Dune Energy, Inc., Mr. Fox served as Manager of Engineering of Alpine Resources from 2002 to 2005 and Choctaw Corporation from 1999 to 2002, during which time he was fully responsible for operations and reserves evaluations; he positioned both companies for profitable sales. Prior to this, Mr. Fox served as Vice President, Production of Floyd Oil Company from 1992 to 1999. Mr. Fox is currently responsible for drilling, reserves evaluation, profit and loss, strategic business and market planning, staffing, budgeting, production operations, and regulatory reporting for the Company. Mr. Fox earned a Bachelor of Science in Petroleum Engineering from Texas A&M University.

He joined the Company in 2015 from Dune Energy, Inc., where he previously served as President, Chief Executive Officer and Director from 2007 to 2015. Prior to joining Dune Energy, Inc. in 2007, Mr. Watt served as the Chief Executive Officer of Remington Oil and Gas Corporation from 1998 to 2007 and was the Chairman of Remington from 2003, until Helix Energy Solutions Group, Inc. acquired Remington in July 2006.

Mr. Watt currently serves on the Board of Directors of Helix Energy Solutions Group. Mr. Watt served on the Board of Directors of Bonanza Creek Energy beginning in 2012 and served as Chairman of the Board from 2015 to 2017.

David Weiser

David Weiser serves as Managing Director in the Investment Management group at FS Investments, where he oversees the firm’s direct lending strategies, as well as Chief Investment Officer of FS Energy and Power Fund, the firm’s energy-focused business development company.

Prior to joining FS, Mr. Weiser worked at TowerView LLC, a public equities fund, where he was an analyst focused on event-driven and deep value equity investments. Prior to TowerView, he was an associate at Golub Capital. David began his career as an investment banking analyst in Lehman Brothers’ leveraged finance group.

Mr. Weiser holds a BS in Economics with concentrations in Finance and Accounting from the Wharton School of the University of Pennsylvania, where he graduated magna cum laude.

K. Adam Leight

Mr. Leight is the Managing Member of Ansonia Advisors LLC, an independent research and capital markets advisory firm. Mr. Leight was Managing Director and Head of US Credit Research at RBC Capital Markets (RBC). Prior to RBC, he was a Managing Director at Credit Suisse, Managing Director and Co-Head of Global Leveraged Finance Research at Donaldson, Lufkin & Jenrette, and Managing Director and head of Fixed Income Research at Cowen & Co. Prior to Cowen, he covered energy equities and debt at Drexel Burnham Lambert and Sutro & Co. In 2016, he joined the Boards of Goodrich Petroleum and Warren Resources. At Goodrich, he is the Chairman of the Audit Committee, and serves on the Compensation and Hedging Committees. Mr. Leight is a Chartered Financial Analyst. He earned a Master of Science in Investment Finance from the University of Wisconsin – Madison, where he participated in the Applied Securities Analysis and Portfolio Management Program (ASAP), and holds a Bachelor of Arts in Economics from Washington University in St. Louis.

Duane H. King

Mr. King co-founded Synergy Oil & Gas, Inc. in 1993 and served as Chief Executive Officer until 2001 when he sold the company. In 2002, Mr. King co-founded Synergy Oil & Gas, L.P. and served as Chief Executive Officer. In 2010, Synergy Oil & Gas, L.P. sold its assets, retaining interest in several exploration and midstream projects. In 2010, Mr. King co-founded and served as Chief Executive Officer of Synergy Offshore LLC, dba SOG Resources, which has operations in Montana and Wyoming. From 1984 to 1986, Mr. King was a Production Engineer for Mitchell Energy & Development Corp. in Midland, Texas. From 1989 to May 1991, he served as an Associate with Chase Manhattan Bank in the Energy Division in Houston and New York, specializing in energy corporate finance. Mr. King is involved in numerous advisory and charity organizations and is currently on the Engineering Advisory Board and the Chancellor’s Council Executive Committee at The University of Texas. He is the President of the Board of Yellowstone Academy, a school serving intercity youth he helped establish. He has served on the Boards of Presbyterian School, Houston Habitat for Humanity, Houston Producers Forum, Episcopal High School and other organizations. Mr. King earned his Bachelor of Science with honors in Petroleum Engineering from the University of Texas in 1984. In 1988, he earned a Master of Business Administration from the University of Texas where he was a Sord Scholar.

Eugene I. Davis

Mr. Davis is Chairman and Chief Executive Officer of PIRINATE Consulting Group, LLC, or PIRINATE, a privately held consulting firm specializing in turnaround management, merger and acquisition consulting, and hostile and friendly takeovers, proxy contests, and strategic planning advisory services for domestic and international public and private business entities. Since forming PIRINATE in 1997, Mr. Davis has advised, managed, sold, liquidated and served as a Chief Executive Officer, Chief Restructuring Officer, Director, Committee Chairman or Chairman of a number of businesses operating in diverse sectors. From 1990 to 1997, Mr. Davis served as President, Vice Chairman, and Director of Emerson Radio Corporation and from 1996 to 1997 he served as Chief Executive Officer and Vice Chairman of Sport Supply Group, Inc. He began his career as an attorney and international negotiator with Exxon Corporation and Standard Oil Company (Indiana) and was in private practice from 1984 to 1998. Mr. Davis holds a Bachelor’s degree from Columbia College, a Master of International Affairs degree (MIA) in international law and organization from the School of International Affairs of Columbia University, and a Juris Doctorate from Columbia University School of Law.
